Job Description

We are seeking a Vice President and Assistant General Counsel to serve in the Corporate Group of the Legal Department at Aramark's headquarters in Philadelphia.  This attorney will report to Aramark's Senior Vice President, Deputy General Counsel and Secretary and will lead the corporate legal team.  This is a great opportunity to play a key role in a pre-eminent legal department leading a high performing corporate team. You will serve as the trusted advisor to the Company’s line of business CEOs and CFOs and Treasurer as they drive Aramark’s M&A and capital markets strategy.  You will also have an opportunity to interact with and advise Aramark’s senior management and Board on corporate issues including on SEC disclosures and M&A.

Job Responsibilities

  • Provide advice and legal support on a broad array of legal and regulatory matters, including:
  • Aramark’s mergers and acquisitions, joint ventures and other significant corporate transactions and strategic initiatives.
  • Aramark’s securities reporting and related matters.
  • Aramark’s capital market activities; and Aramark’s corporate governance and the operation of Aramark’s Board of Directors and Committees.
  • Serve as lead business counsel on M&A and key business transactions, supporting the planning, negotiation, integration and implementation of these activities. Draft and negotiate M&A related agreements including letters of intent, indications of interest, stock and asset purchase agreements, joint venture and shareholder agreements and other related agreements.
  • Ensure compliance with applicable securities regulations; Draft and review SEC disclosure documents including periodic filings (10-Ks, Proxy Statements, 10-Qs and 8-Ks), press releases and Investor Relations presentations.
  • Serve as lead business counsel to Finance and Treasury functions and advise in connection with and review and prepare documents relating to Aramark’s capital markets activities and assisting with other banking and investment matters.
  • Serve as legal subject matter expert on ESG issues.  Support and advise the Vice President, Sustainability and the Sustainable Sourcing function in connection with ESG related issues, including regulatory compliance and reporting.
  • Manage and build strategic and cost-effective partnerships with outside counsel supporting the above activities. 

Qualifications

  • Excellent academic credentials, including a J.D., current Pennsylvania bar admission or admission in another jurisdiction with the ability to become licensed to practice in Pennsylvania.  
  • Six or more years of experience practicing law in a law firm or a sophisticated corporate law department including significant experience in the corporate area.
  • Seasoned and effective lawyer with a high degree of executive presence and confidence demonstrated in client interactions.  
  • Excellent client-service skills and an ability to interact with and effectively advise senior corporate leaders and board members.  
  • Ability to exercise strong and effective judgment to produce creative and constructive solutions in tight time frames as a business partner to clients and ability to influence decisions through informal authority and interactions.  
  • Ability to bring complex and sophisticated legal matters to a successful conclusion with minimal supervision and to resolve, or lead the resolution of, critical legal issues faced by Aramark corporate in the M&A, securities and corporate governance areas.
  • Exhibits a strong work ethic and a high level of productivity and efficiency.
  • Excellent written and oral communication skills, sound judgment, strong interpersonal skills and client-service skills consistent with the highest professional standards and professional and personal ethics and integrity.
